Access to acceleration programs is subject to invitation, application approval, and acceptance of program-specific terms. We reserve the right to accept or reject applications at our discretion. Participation in programs is subject to availability and capacity limitations.

Sessions may be scheduled, rescheduled, or canceled according to program policies. Both participants and advisors should provide reasonable notice for cancellations. Repeated late cancellations or no-shows may result in restrictions on future participation.
You retain all ownership rights to content you upload, submit, or otherwise make available through the Platform ("Your Content"). By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content solely for the purposes of operating, providing, and improving the Platform and our services.
You represent and warrant that:
The Platform and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by Suricata Labs, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms do not grant you any right, title, or interest in the Platform or any of its content, except for the limited license granted herein.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your internal business purposes. This license does not permit you to:
If you provide us with any feedback, suggestions, or ideas about the Platform ("Feedback"), you agree that we may use such Feedback without any obligation to you, and you hereby assign to us all rights to such Feedback.
The Platform may integrate with or contain links to third-party services, websites, or applications ("Third-Party Services"). These Third-Party Services are not under our control, and we are not responsible for their content, privacy practices, or terms of service.
Your use of Third-Party Services is at your own risk and subject to the terms and policies of those services. We do not endorse or make any representations about Third-Party Services.
Access to certain features or programs may require payment of fees. All fees are specified in the applicable program agreement or subscription plan and are payable in advance unless otherwise stated.
By providing payment information, you represent that you are authorized to use the payment method, and you authorize us to charge all fees to that method. Fees are non-refundable except as required by law or as otherwise specified in your agreement.
Advisors and consultants will be compensated according to the terms of their individual service agreements. Payment is subject to completion of services and submission of required documentation such as invoices and tax forms.
Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

You may have access to confidential information belonging to us, other users, or program participants. You agree to:
While we strive to maintain high availability, we do not guarantee that the Platform will be available at all times or without interruption. We may perform maintenance, updates, or upgrades that temporarily affect access to the Platform.
We are not liable for any interruption of service, loss of data, or other damages resulting from scheduled or unscheduled downtime, maintenance, or technical issues.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SURICATA LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Suricata Labs, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
You may terminate your account at any time by contacting us or using the account closure features in the Platform. Termination does not relieve you of obligations incurred prior to termination.
We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, for any reason including but not limited to:

If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally. Most disputes can be resolved this way.
If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Platform will be resolved through binding arbitration in accordance with applicable arbitration rules. The arbitration will be conducted in English, and the arbitrator's decision will be final and binding.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
The Platform may be subject to export control and economic sanctions laws. You agree to comply with all applicable export laws and regulations and will not use the Platform in violation of any such laws.
We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. We may also notify you via email or through the Platform.
Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform.
These Terms and any dispute arising out of or related to these Terms or the Platform will be governed by and construed in accordance with the applicable laws, without regard to conflict of law principles. Any legal action or proceeding will be brought exclusively in the competent courts, and you consent to the jurisdiction of such courts.
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Suricata Labs regarding the Platform and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.
We may provide notices to you via email, postal mail, postings on the Platform, or other reasonable means. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
